IMCS Group, Inc. or its employees shall not offer or accept bribes, kickbacks, gifts, entertainment, gratuities, any personal benefits or privileges or anything of value that could influence, or be perceived to influence, business decisions. Company funds and resources may not be used, directly or indirectly, for such purposes.
IMCS Group, Inc. prohibits all its employees, officers and directors of the company must not engage in any form of bribery to any government official, private party or any third party (such as an agent or third-party intermediary) either directly or indirectly. Facilitation payments are a form of bribery made for the purpose of expediting or facilitating the performance of a public official for a routine governmental action, and not to obtain or retain business or any improper business advantage.

FAIR DEALING  

IMCS Group, Inc. seeks competitive advantages through superior performance, and not through unethical or illegal business practices. IMCS Group, Inc. does not receive or share any form of confidential information with its competitors. IMCS Group, Inc. prices its work independently of any competitor and does not communicate its methods or intentions to bid to its competitors or enter into any agreements with its competitors or disclose information directly or indirectly which would distort competition.

CONFLICT OF INTEREST

IMCS Group, Inc. encourages and promotes objectivity in business decision-making, therefore, IMCS Group, Inc. employees are advised not to engage in other business, trading or investment activities that may interfere with their ability to perform their duties for the company. In addition, employees, officers and directors shall not engage in any other activity that reasonably conflicts with the interests of the company and may interfere with the performance of their duties. All employees, officers and directors shall avoid any situation in which there is, or may appear to be, a potential conflict which could appear to interfere with the employee’s judgment in making decisions in the best interest of the IMCS Group, Inc.
Employees, officers and directors must not use company's property, information or their positions or opportunities arising from these for personal gains or to compete with or to tarnish the image of the company. Under no circumstances should an employee's personal interests conflict with the company's interests, they should seek advice from their reporting manager or senior management.
Notwithstanding, any instances of conflict of interest that exists due to historical reasons, employees are required to make fair and complete disclosures upon appointment to IMCS Group, Inc.

CONFIDENTIAL AND PROPRIETARY INFORMATION

IMCS Group, Inc. is committed to protecting confidential and proprietary information, as well as non-public information entrusted to us by employees, agents, business partners and clients. IMCS Group, Inc. and its employees, officers and directors, agents, business partners, or clients, may not disclose confidential or proprietary information to third parties except when disclosure is authorized or legally mandated. Confidential or proprietary information means all non-public information including but not limited to, trade secrets, detailed sales and profit figures, new product or marketing plans, research and development ideas and information, manufacturing processes, personnel information, and information about potential acquisitions, divestitures, and investments.
IMCS Group, Inc. adheres to its obligation to maintain confidential company information continues even after the business relationship ends.

PROHIBITION OF INSIDER TRADING  

All employees, officers and directors or agents are prohibited to trade in the securities based on the material non-public information obtained during employment with the IMCS Group, Inc. If any employee, officer or director or agents believes that the individual has come into possession of an inside information, such individual may not execute any trade in such securities on the material non-public information. All employees, officers and directors or agents are also prohibited to misuse material non-public information through tipping others who might make an investment decision based on this information.

ANTITRUST COMPLIANCE

IMCS Group, Inc. is subject to all applicable state and federal antitrust laws. Compliance with applicable antitrust laws is in the public interest, in the interest of the business community at large, and in our company’s interest. Compliance to Antitrust laws is to be mandatorily observed at each level business within the IMCS Group, Inc. Any or all employees, officers and directors or agents are strictly prohibited from participating in any activity that involves price-fixing arrangements, market sharing or customer allocation, bid-rigging with other companies replying to a tender, unfair trade practices, arrangements or agreements to exclude a competitor from the market or to restrict market access for new competitors through unlawful means.

ALCOHOL/DRUG-FREE WORKPLACE  

In accordance with Drug-Free Workplace Act of 1988, IMCS Group, Inc. prohibits its employees, officers and directors from unlawful possession, use, dispensation, distribution or manufacture of controlled substances or its paraphernalia on work premises; or in any areas owned or controlled by the company; or off company premises while conducting company business. Further, IMCS Group, Inc. also prohibits abuse or misuse of alcohol in the workplace.  Accordingly, employees who are under the influence, or involved in the abuse of controlled substances or alcohol while on IMCS Group, Inc.  premises, or off company premises while conducting company business may be subject to immediate dismissal. IMCS Group, Inc. reserves the right to perform pre-employment and random drug testing on employees, as permitted by law.

HEALTH, SAFETY AND ENVIRONMENT

IMCS Group, Inc. values health and safety of our employees and the public at large of utmost importance. Therefore, we at IMCS Group, Inc, are committed to managing and operating our assets in a manner that is protective of human health and safety and the environment. It is our policy to comply, in all material respects, with applicable health, safety and environmental laws and regulations. Each employee is also expected to comply with our policies, programs, standards and procedures. Employees shall report any concerns pertaining to environmental, health or safety matters to the HR department.
